PPM Shareholders Approve Merger with NORCAL Mutual

Overland Park, Kansas – December 6, 2016 – Preferred Physicians Medical (PPM), industry-leading provider of professional liability insurance for anesthesia practices, announced today that PPM Services shareholders overwhelmingly approved PPM Services merger with NORCAL Mutual Insurance Company (NORCAL) and NORCAL’s partnership with PPM.

Shareholder approval follows the signing of a definitive agreement in October 2016 between PPM and NORCAL proposing the acquisition of PPM Services and a partnership with PPM designed to expand PPM’s anesthesia footprint and establish a Midwest presence in support of NORCAL’s national expansion.

According to Steve Sanford, PPM’s President and CEO, over 79 percent of outstanding shares participated in the shareholder vote with over 98 percent of the voted shares approving the merger.

Regulatory approval by both the Missouri and California Departments of Insurance and the distribution of shareholder proceeds pursuant to the terms of the merger agreement remain pending. Closing is expected to occur in the first quarter of 2017.
